Summary of Changes to July 1, 2006 Issue

This document summarizes the proposed changes to the Temple Beth Sholom Constitution and By-Laws dated 7-1-06. This summary does not include grammatical, formatting and editorial changes, such as removing gender specific language. It is provided to simplify the understanding of the proposed revisions and is not intended to replace the official markup, which requires approval of the Board of Directors and the members of the Congregation at the Annual Meeting.

VII.1.a        Removed reference to a Cantor.

VIII.3        Added Trustees to the procedure for filling vacancies.

IX.1        Added the terms of office for Trustees and Directors.

XII.1        Added trustees’ time of election.

XII.2        Added trustees’ time of induction.

XII.4        Removed paragraph regarding tellers canvassing and counting ballots.

XVI.1        Clarified that the President appoints only “the Chair” of committees.

XVI.2.a    Added that the Ritual VP shall be “a member of the Cemetery Committee”

XVI.2.b    Removed Membership VP coordinating Social Action Committee.

XVI.2.d    Removed Education VP coordinating School Treasurer.

XVI.2.e    Removed Communications VP coordinating Recording Secretary,
By-Laws Committee, handbook and bulletin board.

XVI.3        Added requirement for Recording Secretary to “maintain a permanently
running record of all resolutions of the Board of Directors”

XVI.4        Removed Treasurer coordinating fundraising and endowment activities.

XVII.1        Added Social Action and Israel Affairs as new standing committees.

XVII.3        Added committees’ right to incur liabilities if contained in the “approved annual budget.”

XVII.4.d    Added Finance and Budget Committee’s responsibilities to review “at least quarterly” the budget and “shall at least annually review and maintain the insurance coverage for the Congregation.”

XVII.4.e     Added Cemetery Committee’s responsibility to “maintain permanent records” of plots.

XVII.4.g.vii.(h) Clarified that distributions by the Endowment Committee are defined “under subsections (2) and (3) of this paragraph” i.e. paragraph XVII.4.g.vii.(h). Added that the corpus or principal includes not only the donor’s original contributions but also “all additional contributions made”.

XVII.4.m.1    Clarified that the School System “consists of the Religious School and the Nursery School.”

XVII.4.m.2    Clarified that the School System is supervised among others by the ”Religious School” Educational Director.

XVII.4.m.3    Clarified that the two Educational Directors are the “Religious School Educational Director and the Nursery School Educational Director” who are members of the Board of Education ex-officio.

XVII.4.m.3 (old) Removed. Redundant of paragraph XVI.1 that the President appoints the Chair of the Board of Education.

XVII.4.n    Added description of new standing committee “Social Action.  This committee shall engage in social service programs in the community.”

XVII.4.o    Added description of new standing committee “Israel Affairs.  This committee shall support programs benefiting and raising awareness of Israel.”

XVIII.3    Added “The engagement of any Rabbi or Cantor shall require the prior approval of the Board of Directors.”

XX        Clarified Congregation’s obligations to “either: 1. Approved by the Board of Directors, or 2. Approved as part of the annual budget.” Removed “exceeding five hundred ($500.00 dollars)”

XXVIII    Removed paragraph as it duplicates information in the title of the By-Laws.
